Terms and Conditions

These Terms and Conditions (“Terms”) govern your purchase and use of website maintenance, support, security, backup, malware cleanup, migration, consulting, and related services provided by WP Fortified – a Tealshore Works LLC brand (“WP Fortified,” “we,” “us,” or “our”).

By purchasing, subscribing to, accessing, or using any WP Fortified service, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree to these Terms, you must not purchase or use our services.

1. Services

WP Fortified provides WordPress website maintenance and related professional services, including but not limited to website monitoring, updates, backups, security support, malware cleanup, technical troubleshooting, minor website edits, and related support services.

Our website maintenance plans are currently offered on a monthly subscription basis as follows:

  • Essentials: USD $79 per month
  • Pro: USD $169 per month
  • Business: USD $349 per month

The exact features, limits, and inclusions of each plan are as described on the applicable service, pricing, proposal, invoice, checkout, or order page at the time of purchase.

WP Fortified may also provide one-time services, emergency fixes, malware cleanup, website migrations, website builds, custom development, consulting, or other professional services under a separate quote, invoice, proposal, or written agreement.

2. Website Maintenance Plans

Website maintenance plans are intended to provide ongoing technical care for eligible WordPress websites. Depending on the plan purchased, services may include:

  • WordPress core, plugin, and theme updates;
  • Website backups using Jetpack, VaultPress Backup, or a related Jetpack backup service;
  • Website uptime monitoring;
  • Security monitoring and basic hardening;
  • Malware scanning and/or malware cleanup;
  • Minor technical fixes;
  • Minor content edits or website adjustments;
  • Support by email or other approved communication channels;
  • Recommendations relating to hosting, performance, reliability, and website health.

Unless expressly stated otherwise in writing, website maintenance plans do not include custom development, new feature development, full redesigns, copywriting, SEO campaigns, paid advertising, legal compliance work, accessibility audits, advanced performance engineering, hosting/server administration, domain management, third-party software license purchases, or major troubleshooting caused by external systems, third-party developers, or unsupported custom code. Such work may be quoted separately.

3. Support Response Time

WP Fortified aims to respond to support requests within 12 hours.

Response time means the time within which WP Fortified aims to acknowledge or initially respond to a support request. It does not guarantee that the issue will be fully resolved within that period.

Resolution times depend on the nature of the issue, required access, third-party systems, hosting provider cooperation, software complexity, plugin/theme conflicts, security incidents, and Client responsiveness.

Emergency, critical, or business-impacting requests will be prioritized at WP Fortified’s discretion.

4. Client Responsibilities

To allow WP Fortified to provide the services, you agree to:

  1. Provide accurate, complete, and current information.
  2. Provide timely access to your WordPress website, hosting account, DNS provider, domain registrar, third-party services, analytics tools, or other systems as reasonably required.
  3. Maintain valid subscriptions and licenses for all premium plugins, themes, software, platforms, services, or third-party tools used by your website.
  4. Maintain lawful website content and ensure your website does not contain illegal, harmful, infringing, deceptive, abusive, or malicious material.
  5. Inform WP Fortified of any major website changes, third-party developer activity, hosting changes, plugin/theme installations, or custom code changes that may affect the website.
  6. Review and approve requests, recommendations, risks, or changes where WP Fortified reasonably requires your approval.
  7. Maintain your own independent copies of important business data, website content, customer records, legal documents, and other critical information.
  8. Ensure that any user accounts, passwords, API keys, and credentials provided to WP Fortified are valid and secure.

WP Fortified is not responsible for delays, errors, downtime, data loss, or other issues caused by your failure to provide access, approvals, information, payment, third-party licenses, or cooperation.

5. Initial Website Review and Onboarding

WP Fortified may conduct an initial review or audit before fully onboarding a website into a maintenance plan.

WP Fortified reserves the right to refuse, delay, suspend, or separately quote onboarding if a website has significant pre-existing issues, including but not limited to:

  • Malware or suspected compromise;
  • Outdated WordPress, PHP, plugin, or theme versions;
  • Nulled, pirated, abandoned, or unsupported plugins or themes;
  • Unstable hosting;
  • Broken custom code;
  • Major performance, security, or database issues;
  • Incomplete access credentials;
  • Unresolved conflicts caused by third-party developers or prior work;
  • Any condition that creates unreasonable technical or security risk.

Pre-existing issues may require a separate cleanup, repair, migration, or stabilization project before monthly maintenance begins.

6. Backups

WP Fortified provides backups through Jetpack, VaultPress Backup, or another Jetpack backup service, where applicable.

Backups are intended as a reasonable protective measure, but WP Fortified does not guarantee that every backup, restore, or recovery attempt will be complete, successful, uninterrupted, or error-free. Backup availability may be subject to third-party service limitations, storage limits, retention limits, hosting configuration, website size, connectivity, and account status.

You remain responsible for maintaining independent copies of important business records, customer data, website content, media files, legal documents, transaction records, and other critical information.

WP Fortified is not liable for data loss, corruption, failed backups, failed restores, or incomplete recovery caused by third-party services, hosting providers, plugin/theme conflicts, malware, client actions, expired subscriptions, account limitations, server restrictions, or circumstances outside WP Fortified’s reasonable control.

7. Malware Cleanup and Security

Where included in your plan or separately purchased, WP Fortified may provide malware cleanup, security review, security recommendations, and related remediation services.

WP Fortified will use commercially reasonable efforts to identify, remove, and mitigate malware or security issues. However, no website maintenance, security, or malware cleanup service can guarantee that a website will be completely secure, immune from attack, permanently free from malware, or protected against all vulnerabilities.

Malware cleanup does not include, unless expressly agreed in writing:

  • Repairing all damage caused by the malware or attacker;
  • Restoring lost or corrupted data;
  • Removing blacklists or search engine warnings;
  • Rebuilding the website;
  • Fixing vulnerabilities caused by unsupported plugins, themes, hosting, or custom code;
  • Cleaning external platforms, email systems, ad accounts, payment gateways, or third-party services;
  • Legal, privacy, regulatory, or breach notification advice.

If a website is already infected before subscription, WP Fortified may require a separate malware cleanup or stabilization fee before the maintenance plan begins.

8. Hosting

WP Fortified does not provide hosting as part of its website maintenance plans unless expressly agreed in writing.

You are responsible for obtaining, maintaining, and paying for your hosting account, domain name, DNS services, SSL certificate, email hosting, CDN, and related infrastructure.

WP Fortified is not responsible for downtime, slowness, data loss, server failures, DNS errors, email delivery issues, hosting account suspension, resource limits, or security incidents caused by your hosting provider or related infrastructure.

If you request hosting guidance, WP Fortified may recommend migrating your website to Pressable, a managed WordPress hosting provider associated with Automattic’s WordPress hosting ecosystem. Any hosting fees, terms, limitations, renewals, and service levels are between you and the hosting provider unless WP Fortified expressly agrees otherwise in writing.

Migration services, if requested, may be included in a plan, separately quoted, or subject to technical review depending on the size, complexity, and condition of the website.

9. Third-Party Plugins, Themes, Licenses, and Services

You are responsible for purchasing, maintaining, and renewing all third-party plugins, themes, software licenses, subscriptions, hosting services, email services, APIs, payment gateways, analytics tools, fonts, stock assets, and other third-party services required by your website.

WP Fortified is not responsible for issues caused by expired, invalid, unsupported, abandoned, revoked, pirated, nulled, incompatible, or improperly configured third-party software or services.

If a third-party tool, plugin, theme, API, or service changes its pricing, features, terms, availability, or functionality, WP Fortified is not responsible for such changes.

WP Fortified may recommend replacing, removing, updating, or purchasing third-party tools where reasonably necessary for security, stability, compatibility, or performance.

10. Updates and Website Changes

WP Fortified may update WordPress core, plugins, and themes as part of the maintenance service.

Updates can occasionally cause conflicts, visual issues, feature changes, downtime, or other unexpected behavior due to dependencies, outdated code, third-party software, hosting limitations, custom code, or plugin/theme incompatibilities.

WP Fortified will use commercially reasonable care when performing updates, but does not guarantee that updates will be error-free or that third-party software will remain compatible.

Where WP Fortified reasonably determines that an update may create unusual risk, we may delay the update, request approval, recommend a staging test, or quote additional remediation work.

11. Excluded Services

Unless expressly included in your plan or agreed in writing, the following services are excluded and may be charged separately:

  • Custom plugin or theme development
  • New feature development
  • Full website redesigns
  • Custom integrations
  • SEO strategy or ongoing SEO campaigns
  • Paid advertising management
  • Copywriting, content strategy, or content creation
  • Legal compliance work, including privacy policy, cookie policy, GDPR, CCPA, accessibility, or industry-specific compliance
  • Accessibility audits or accessibility guarantees
  • Work on non-WordPress systems

WP Fortified may provide these services under a separate quote or agreement.

12. Billing and Payment

Website maintenance plans are billed monthly in advance.

By subscribing to a maintenance plan, you authorize WP Fortified or its payment processor to charge your selected payment method on a recurring monthly basis until the subscription is cancelled or terminated.

All fees are stated in U.S. dollars unless otherwise specified.

You are responsible for any taxes, duties, bank fees, currency conversion fees, payment processor fees, or other charges applicable to your purchase.

If payment fails, WP Fortified may notify you and request updated payment information. WP Fortified may suspend services if payment remains overdue. WP Fortified may terminate services for continued non-payment.

WP Fortified is not responsible for website issues, missed updates, downtime, security incidents, backup gaps, support delays, or other consequences arising during a period of non-payment, suspension, or termination.

13. Cancellation

You may cancel your monthly maintenance plan at any time by providing written notice to WP Fortified or by using any available cancellation method provided through the applicable billing platform.

Cancellation will generally take effect at the end of the current paid billing period unless WP Fortified agrees otherwise in writing.

After cancellation, WP Fortified may stop providing services, monitoring, backups, updates, malware cleanup, support, and related maintenance services.

You are responsible for ensuring that you have access to your website, hosting, domain, plugins, themes, licenses, backup systems, and all third-party accounts after cancellation.

WP Fortified may remove its user accounts, access keys, backup connections, monitoring tools, licenses, or management integrations after cancellation.

14. Refund Policy

WP Fortified’s website maintenance plans are subscription-based services. Work may begin immediately after purchase, including onboarding, access review, monitoring setup, backup configuration, updates, security checks, and support availability.

For this reason, monthly maintenance fees are generally non-refundable once the billing period has started.

You may cancel at any time, but WP Fortified does not provide prorated refunds, credits, or partial-month refunds for the current billing cycle unless required by law or expressly agreed by WP Fortified in writing.

Refunds may be considered at WP Fortified’s sole discretion if WP Fortified is unable to provide the subscribed service due to reasons within WP Fortified’s reasonable control.

No refunds will be provided for:

  • Completed work
  • Partially completed work
  • Onboarding or setup work
  • Third-party fees
  • Hosting fees
  • Domain fees
  • Plugin, theme, software, or license fees;
  • Work delayed or prevented by lack of access, lack of approval, non-payment, third-party systems, hosting issues, expired licenses, or Client inaction.

Chargebacks or payment disputes made without first contacting WP Fortified may result in immediate suspension or termination of services.

15. Plan Changes

You may request to upgrade or downgrade your maintenance plan.

Upgrades may take effect immediately or at the beginning of the next billing cycle, depending on the billing platform and WP Fortified’s approval.

Downgrades generally take effect at the beginning of the next billing cycle unless WP Fortified agrees otherwise in writing.

Changing plans may affect service scope, support priority, included services, monitoring, malware cleanup availability, and other plan features.

WP Fortified may update plan pricing, features, or service limits from time to time. Changes will not affect the current paid billing period unless required by law or agreed in writing.

16. Intellectual Property

You retain ownership of the website content, media, trademarks, logos, data, and materials you provide to WP Fortified.

Subject to full payment, you will own custom website code, design work, or deliverables specifically created for you by WP Fortified, except for WP Fortified’s pre-existing materials, reusable code, frameworks, libraries, templates, tools, processes, methods, documentation, know-how, and general technical knowledge.

WP Fortified retains ownership of its pre-existing intellectual property, internal tools, reusable components, workflows, methods, business processes, and expertise.

Unless otherwise agreed in writing, WP Fortified may use general knowledge, skills, experience, ideas, concepts, techniques, and reusable code gained or developed while providing services.

17. Confidentiality and Data Access

In the course of providing services, WP Fortified may access confidential business information, website data, user accounts, customer information, order data, form submissions, analytics, technical logs, credentials, and other sensitive information.

WP Fortified will use commercially reasonable efforts to protect confidential information and will only use such information as reasonably necessary to provide services, comply with legal obligations, prevent fraud or abuse, enforce these Terms, or protect WP Fortified’s rights.

You are responsible for ensuring that your website’s collection, processing, storage, and use of personal data complies with applicable privacy, data protection, consumer protection, and industry-specific laws.

WP Fortified does not provide legal, privacy, compliance, tax, accounting, or regulatory advice.

Where required by law, you are responsible for obtaining appropriate consent, publishing required privacy notices, executing any necessary data processing agreements, and ensuring your website complies with applicable laws and regulations.

18. Acceptable Use

You must not use WP Fortified’s services in connection with websites or activities that are illegal, harmful, abusive, fraudulent, infringing, deceptive, defamatory, obscene, exploitative, malicious, or otherwise objectionable.

WP Fortified may refuse, suspend, or terminate service if your website or requested work involves:

  • Illegal goods or services
  • Malware, phishing, spam, or hacking
  • Intellectual property infringement
  • Fraudulent or deceptive activity
  • Harassment, threats, or abuse
  • Nulled or pirated software
  • Content or activities that create legal, reputational, security, or technical risk for WP Fortified

19. Termination by WP Fortified

WP Fortified may suspend or terminate services immediately, with or without notice, if:

  • You fail to pay fees when due
  • You breach these Terms
  • You provide false, incomplete, or misleading information
  • You or your representatives are abusive, threatening, or unreasonable
  • You repeatedly request work outside the agreed scope without approving additional charges
  • Continuing the service would be commercially, legally, or technically impractical

Upon termination, WP Fortified may stop all services and remove access, monitoring, backup configurations, support channels, and management tools associated with your website.

20. No Guarantees

WP Fortified will use reasonable skill and care in providing services.

However, WP Fortified does not guarantee that:

  • Your website will be uninterrupted, error-free, secure, or malware-free
  • All issues will be detected or prevented
  • All backups or restores will be successful
  • All third-party plugins, themes, or services will remain compatible
  • Website speed, rankings, conversions, sales, traffic, uptime, or revenue will improve
  • Search engines, hosting providers, browsers, payment gateways, or other third parties will behave in any particular way
  • Any specific business outcome will be achieved

All services are provided on an “as is” and “as available” basis to the fullest extent permitted by law.

21. Limitation of Liability

To the fullest extent permitted by law, WP Fortified will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, lost sales, loss of data, loss of goodwill, business interruption, reputational harm, or cost of substitute services.

To the fullest extent permitted by law, WP Fortified’s total aggregate liability for any claim arising out of or relating to the services or these Terms will not exceed the amount paid by you to WP Fortified for the affected service during the three months immediately preceding the event giving rise to the claim.

This limitation applies whether the claim is based on contract, negligence, strict liability, warranty, statute, or any other legal theory, even if WP Fortified has been advised of the possibility of such damages.

22. Indemnification

You agree to indemnify, defend, and hold harmless WP Fortified, its owners, directors, officers, employees, contractors, agents, affiliates, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising from or related to:

  • Your website
  • Your content, products, services, or business activities
  • Your breach of these Terms
  • Your violation of applicable law
  • Your infringement of any third-party rights
  • Your failure to maintain required licenses, permissions, notices, or consents
  • Any claims by your customers, users, vendors, contractors, or third-party service providers

23. Third-Party Services

WP Fortified may use, recommend, integrate with, or rely on third-party services, including hosting providers, backup providers, security tools, payment processors, plugin/theme providers, domain registrars, analytics providers, and communication platforms.

WP Fortified is not responsible for the acts, omissions, outages, pricing, terms, security, performance, changes, or failures of third-party services.

Your use of third-party services may be subject to separate terms, privacy policies, fees, and restrictions.

24. Force Majeure

WP Fortified will not be liable for any delay or failure to perform caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet outages, hosting failures, third-party service failures, cyberattacks, power outages, government actions, legal restrictions, illness, or other events outside WP Fortified’s reasonable control.

25. Communications

You agree that WP Fortified may communicate with you by email, support desk, messaging platform, video call, invoice system, or other reasonable communication method.

You are responsible for monitoring the email address or communication channel associated with your account and responding to requests for access, approval, payment, clarification, or technical information.

26. Changes to Services and Terms

WP Fortified may update these Terms from time to time.

Updated Terms will be posted on WP Fortified’s website or otherwise provided to you. The updated Terms will take effect on the date stated in the updated version.

Your continued use of the services after updated Terms become effective constitutes your acceptance of the updated Terms.

WP Fortified may also modify, replace, suspend, or discontinue any service, plan, feature, or pricing at any time, subject to any applicable written agreement or current billing period.

27. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

To the fullest extent permitted by law, any dispute arising out of or relating to these Terms or WP Fortified’s services will be handled in the state or federal courts located in Wyoming, United States, unless otherwise required by applicable law.

28. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.

29. Entire Agreement

These Terms, together with any applicable proposal, invoice, checkout terms, service description, or written agreement, constitute the entire agreement between you and WP Fortified regarding the services and supersede all prior or contemporaneous understandings, communications, or agreements relating to the same subject matter.
